Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the services provided by Hay & Wilson Electric Company LLC ("Company," "we," "us," or "our") and your access to our website. By engaging our services or using our website, you agree to be bound by these Terms.

1. Acceptance of Terms

By requesting a quote, entering into a service agreement, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations of the State of Nevada. If you do not agree with these Terms, you must not use our services.

2. Services Provided

Hay & Wilson Electric Company LLC provides electrical contracting services including, but not limited to:

  • Commercial and residential electrical installations, repairs, and maintenance
  • Data center electrical infrastructure
  • Solar photovoltaic (PV) system installation
  • Battery backup and UPS systems
  • Surge protection device (SPD) installation
  • Main panel installation and distribution systems
  • Electrical infrastructure for AI/ML computing hardware
  • Electrical troubleshooting and new construction wiring

All services are performed in accordance with Nevada State Contractor's Board regulations and applicable building codes. Our licenses include NV C-2 0093452 and B-2 0093670.

3. Service Agreements and Estimates

All estimates provided are valid for 30 days from the date of issue. Estimates are subject to change based on site conditions, material costs, or unforeseen complications. Any changes to the scope of work will be communicated to you and require written approval before proceeding. Final pricing is determined upon completion of the project assessment.

4. Payment Terms

  • Payment terms will be specified in each service agreement
  • We reserve the right to require a deposit before commencing work
  • Final payment is due upon completion of work unless otherwise agreed in writing
  • Late payments may be subject to interest charges at the maximum rate permitted under Nevada law
  • We reserve the right to place a mechanic's lien on the property for unpaid services as permitted by Nevada Revised Statutes

5. Cancellation and Rescheduling

Cancellations or rescheduling requests must be made at least 24 hours in advance. Cancellations made with less than 24 hours' notice may be subject to a cancellation fee. Deposits may be non-refundable if materials have been ordered or work has commenced.

6. Warranty and Workmanship

We warrant that all work will be performed in a professional and workmanlike manner in accordance with industry standards and Nevada building codes. Warranty periods for our workmanship and installed materials will be specified in your service agreement. This warranty does not cover damage caused by misuse, negligence, acts of God, or modifications made by others.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NEVADA LAW:

  • Our total liability for any claim arising out of or relating to our services shall not exceed the amount paid by you for the specific service giving rise to the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, business interruption, or loss of data
  • We are not responsible for delays caused by factors beyond our reasonable control, including material shortages, weather conditions, or governmental restrictions
  • You agree to indemnify and hold harmless Hay & Wilson Electric Company LLC from any claims arising from your misuse of our services or violation of these Terms

8. Customer Responsibilities

You agree to:

  • Provide accurate information about your electrical system and property
  • Ensure safe access to work areas and remove any obstructions
  • Disclose any known hazards, including asbestos or other dangerous materials
  • Obtain any necessary permits or approvals required for the work (unless otherwise specified in the service agreement)
  • Ensure that pets are secured and do not interfere with our work
  • Provide access to electrical panels and work areas during scheduled service times

9. Permits and Inspections

Unless otherwise specified in the service agreement, obtaining necessary permits and scheduling required inspections is the responsibility of Hay & Wilson Electric Company LLC. All work will be performed in compliance with Nevada State and local building codes. You are responsible for providing access to inspectors and ensuring compliance with any inspector requirements.

10. Insurance

Hay & Wilson Electric Company LLC maintains appropriate insurance coverage as required by Nevada law, including general liability and workers' compensation insurance. Proof of insurance is available upon request.

11. Intellectual Property

All content on our website, including text, graphics, logos, and images, is the property of Hay & Wilson Electric Company LLC and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission.

12. Privacy

Your use of our services and website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall be resolved as follows:

  • Informal Negotiation: The parties agree to first attempt to resolve any dispute through good-faith negotiation
  • Mediation: If negotiation fails, the parties agree to attempt mediation before pursuing litigation
  • Governing Law: These Terms shall be governed by the laws of the State of Nevada without regard to conflict of law principles
  • Jurisdiction: Any legal action must be brought in the state or federal courts located in Washoe County, Nevada, and you consent to the exclusive jurisdiction of such courts
  • Attorney's Fees: In any legal action to enforce these Terms, the prevailing party shall be entitled to recover reasonable attorney's fees and costs

14. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, material shortages, or utility failures.

15. Safety and Compliance

All work performed by Hay & Wilson Electric Company LLC complies with:

  • Nevada Revised Statutes (NRS) Chapter 624 (Contractors)
  • National Electrical Code (NEC)
  • Occupational Safety and Health Administration (OSHA) regulations
  • Local building codes and ordinances

We maintain all required licenses and comply with Nevada State Contractor's Board requirements.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with a new "Last Updated" date. Your continued use of our services after any changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable under Nevada law, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent.

18. Entire Agreement

These Terms, together with any service agreement you enter into with us, constitute the entire agreement between you and Hay & Wilson Electric Company LLC regarding our services and supersede all prior agreements and understandings, whether written or oral.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Hay & Wilson Electric Company LLC.

20. Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms or any rights hereunder without restriction.

BY USING OUR SERVICES OR WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.
